    Whereas[purposes of this contract] the following agreement has been reached by and between both Party A and Party B with respect to the matters concerning [contents of this contract] according to the relevant provisions of such laws and regulations as the [the laws related to this contract] and the relevant State provisions:

Article xx. The way of payment, criteria for payment defined in this Contract are as follows:
Payment shall be made by a lump sum. The criteria of payment: RMB___ /Per [unit] (amount of payment = The criteria of payment × number of units). Party B shall pay Party A the remuneration within 3 months from [Date]. When making the payment, Party B shall withhold the individual income tax payable by Party A according to the state provisions.

Article xx. Any modifications and amendments of this agreement shall be identified as such and shall be given in writing in order to be valid. This shall also apply to a waiver of the required written form.
Article xx.  The invalidity of any provision of this agreement shall not affect any part of the remaining agreement. The contractual parties shall be obliged to replace the invalid provision with a valid one, reflecting the spirit and purpose of the invalid provision. The same shall apply in the event of gaps.
Article xx.  This Agreement shall be construed and interpreted in accordance with the laws of Chinese laws.

Article xx. Both parties shall sufficiently and earnestly perform this Contract. The disputes, if any, arising during the implementation of this Contract shall be settled through friendly consultations between both parties. In case no settlement can be made through consultation, any party to this Contract shall have the right to bring a lawsuit before the People’s Court in the place where Party B is located for settlement.

Article xx. This Contract is executed in two copies, one for each party, each copy of which shall be equally effective.
